March 11, 2016 Annual Meeting

The Regular Meeting of the Hornell Area Industrial Development Corporation was held March 11, 2016, at 12:25 PM, at 40 Main Street, Hornell, NY.

PRESENT: Samuel Nasca, Chair
George Prete, Vice Chair
David Parmley, Asst. Treasurer
Shawn Hogan, CFO, Treasurer

ABSENT: Joseph Foreman, Secretary

ALSO: James Griffin, CEO, Executive Director
Margaret Frungillo, Administrative Assistant
John Dagon, Agency Attorney
Elisa Fernbach, Sr. Auditor, Drescher & Malecki
Matt Mantalbo, Auditor, Drescher & Malecki
Jason Jordon, Reporter, Evening Tribune
William Dugan, WLEA Reporter

Chairman Nasca called the meeting to order at 12:25 PM. Chairman Nasca reported that there was a quorum for the meeting as required by the by-laws.

MINUTES

Chairman Nasca presented the minutes of the December 16, 2015 Meeting.
A motion was made by Dave Parmley, seconded by George Prete to accept the minutes as presented. Carried All.

FINANCIAL REPORT

Treasurer Shawn Hogan presented the audited financial reports for the months of September – February that had been e-mailed to the Board prior to the meeting and reviewed by our accountants Mengel, Metzger, & Barr. A motion was made by Dave Parmley, seconded by Joseph Foreman to approve the financial reports as presented. Carried All.

ANNUAL AUDIT

Matthew Mantalbo, Partner and. Auditor for Drescher & Malecki presented the 2015 audit report for the Hornell Industrial Development Corporation. Matthew stated that the Audit was of clean opinion and no issues were found. After discussion of the Audit, Chairman Nasca thanked Matthew and Elisa for a job well done and asked for Board Approval. A motion was made by Shawn Hogan, seconded by Dave Parmley to approve the 12/31/15 Audit. Carried All.

APPOINTMENTS

Chairman Nasca appointed the following for the 2016 year:

Margaret Frungillo, Administrative Assistant
Audit Committee – George Prete-Chairman
Joseph Foreman – Member
David Parmley – Member

Personnel Committee – Shawn Hogan – Chairman
George Prete – Member
Dave Parmley - Member

Governance Committee – Samuel Nasca – Chair
Shawn Hogan – Member
Joseph Foreman – Member

A motion was made by Dave Parmley, seconded by George Prete to accept the appointments as presented. Carried All.

DESIGNATIONS

The following designations for 2016 were announced by Chairman Nasca:

John Dagon – Agency Attorney
Harris Beach – Bond Consul
Drescher & Malecki – Auditors
Mengel, Metzger, Barr – Internal accountants
Evening Tribune – Official Newspaper

A motion was made by Shawn Hogan, seconded by Dave Parmley to accept the designations as presented. Carried All. 

COMMITTEES

Audit Committee – George Prete, Chairman of the Audit Committee, stated the Audit committee met on March 11, 2016 and approved bills for September in the amount of $1,010.00, October in the amount of $300.00 and for December in the amount of $4,000.00. A motion was made by Dave Parmley, seconded by Shawn Hogan to approve the actions of the Audit Committee.

Personnel Committee – No Report

Governance Committee – No Report

There being no old or new business, the meeting was adjourned at 12:34 PM upon motion from Shawn Hogan, seconded by George Prete. Carried All.
