April 30, 2015 Annual Meeting

The Annual Meeting of the City of Hornell Industrial Development Agency was held April 30, 2015, at 5:30 PM, at 40 Main Street, Hornell, NY.


PRESENT: Samuel Nasca, Chair
George Prete, Vice Chair

David Parmley, Asst. Treasurer

Shawn Hogan, CFO, Treasurer

ABSENT: Joseph Foreman, Secretary

MINUTES

Chairman Nasca presented the minutes of the July 24, 2014 Annual Meeting.
A motion was made by George Prete, seconded by Dave Parmley to accept the minutes as presented. Carried All.


ANNUAL AUDIT

Matthew Mantalbo, Partner and Auditor for Drescher & Malecki, presented the 4/1/14 – 12/31/14 audit report for the City of Hornell Industrial Development Agency. Matthew stated that due to the change of the Agency's fiscal year that this was a nine month audit. Mathew further stated that the Audit was of clean opinion and no issues were found. He stated that the Agency had shown accountability with their PARIS reports. He reported the Agency continues to remain stable. After discussion of the Audit, Chairman Nasca thanked Elisa and Matthew for a job well done and asked for Board Approval.

A motion was made by Shawn Hogan, seconded by George Prete to approve the 12/31/14 Audit. Carried All.


ELECTION OF OFFICERS

Nominating Committee Chairman George Prete reported that the Nominating Committee had met on April 9, 2015 and recommended the following slate of Officers to the Board:

Samuel Nasca – Chair
George Prete – Vice Chair

Shawn Hogan – CFO, Treasurer

Joseph Foreman – Secretary

Dave Parmley – Asst. Treasurer


A motion was made by Dave Parmley, seconded by Shawn Hogan to accept the slate of officers as presented. Carried All.


APPOINTMENTS

Chairman Nasca appointed the following for the 2015 year:

James Griffin, Executive Director
Margaret Frungillo, Administrative Asst.

Personnel Committee – Shawn Hogan – Chairman
George Prete – Member

Audit Committee – George Prete-Chairman

A motion was made by Dave Parmley, seconded by George Prete to accept the appointments as presented. Carried All.


DESIGNATIONS

The following designations for 2015 were announced by Chairman Nasca:

John Dagon – Agency Attorney
Harris Beach – Bond Consul

Drescher & Malecki – Auditors

Mengel, Metzger, Barr – Internal accountants

Evening Tribune – Official Newspaper

A motion was made by Dave Parmley, seconded by Shawn Hogan to accept the designations as presented. Carried All.


CHAIRMAN'S REPORT

Chairman Nasca summarized his annual report to the Mayor, Common Council, and the Agency. Chairman Nasca thanked the Board and Staff for their dedication to the Agency. Chairman Nasca stated that the Agency has enhanced their performance with the information for the meetings being sent electronically to the Board for review prior to the meetings. Nasca reported that the Agency's future is looking bright with new projects as it enters its 42nd year. Alstom continues their commitment to our community and our Agency has worked timelessly to assist them with building their future plant for a long term outlook and employment future.

Chairman Nasca reported that our Agency recognizes and supports the efforts of Mayor Hogan in working to retain and stabilize the existence of our healthcare facility.

A motion was made by Shawn Hogan, seconded by George Prete to accept the report as presented. Carried All.


EXECUTIVE DIRECTOR'S REPORT

Executive Director Griffin presented his report. Griffin stated that we had seen a healthy growth pattern in the community, according to a comparison between our recent Paris report and the prior year the IDA has created 434 new jobs in the past year. These are well paying jobs that have made a significant contribution to our community.

Griffin further stated that changing our fiscal year was accomplished to provide more uniform reporting to our Agency and the State.


A motion was made by Dave Parmley, seconded by George Prete to accept the Executives report as presented. Carried All.


There being no old or new business, the meeting was adjourned at 5:50 PM upon motion from Dave Parmley, seconded by Shawn Hogan. Carried All.
