April 26, 2018 Annual Meeting

The Annual Meeting of the Hornell Area Industrial Development Corporation was held April 26, 2018, at 4:20 PM, at 40 Main Street, Hornell, NY.

PRESENT: Samuel Nasca, Chair
George Prete, Vice Chair
David Parmley, Treasurer, CFO
John Buckley, Assistant Treasurer

ABSENT: John Carbone, Secretary

ALSO: James Griffin, CEO, Executive Director
Margaret Frungillo, Administrative Assistant
Matthew Mantalbo, Partner, CPA, Drescher & Malecki
Nichole Ruf, Auditor, Dresher & Malecki
William Dugan, WLEA Reporter

MINUTES

Chairman Nasca presented the minutes of the March 23, 2017 Annual Meeting.

A motion was made by Dave Parmley, seconded by George Prete to accept the minutes as presented. Carried All.

ANNUAL AUDIT

Matthew Mantalbo, Partner and Auditor for Drescher & Malecki presented the 1/1/17 – 12/31/17 audit report for the Hornell Industrial Development Corporation. Matthew stated that the Audit was of clean opinion and no issues were found. After discussion of the Audit, Chairman Nasca thanked Matthew and Nichole for a job well done and asked for Board Approval. A motion was made by John Buckley, seconded by Dave Parmley to approve the 12/31/17 Audit. Carried All.

ELECTION OF OFFICERS

Nominating Committee Chairman George Prete reported the Committee had met on April 12, 2018 and recommended the following slate of Officers to the Board:

Samuel Nasca – Chair
George Prete – Vice Chair
Dave Parmley – CFO, Treasurer
John Carbone – Secretary
John Buckley – Assistant Treasurer/ Assistant Secretary

A motion was made by Dave Parmley, seconded by John Buckley to accept the slate of officers as presented. Carried All.

APPOINTMENTS

Chairman Nasca appointed the following for the 2018 year:

James Griffin, Executive Director
Margaret Frungillo, Administrative Assistant

Audit Committee – George Prete-Chairman
John Carbone – Member
David Parmley – Member

Personnel Committee – Dave Parmley – Chairman
George Prete – Member
John Carbone - Member

Governance Committee – Samuel Nasca – Chair
George Prete – Member
John Buckley – Member

A motion was made by George Prete, seconded by Dave Parmley to accept the appointments as presented. Carried All.

DESIGNATIONS

The following designations for 2018 were announced by Chairman Nasca:

John Dagon – Agency Attorney
Harris Beach – Bond Consul
Drescher & Malecki – Auditors
Evening Tribune – Official Newspaper

A motion was made by John Buckley, seconded by George Prete to accept the designations as presented. Carried All.

There being no old or new business, the meeting was adjourned at 4:29 PM upon motion from Shawn Hogan, seconded by George Prete. Carried All.
