The regular meeting of the City of Hornell Industrial Development Agency was held on Wednesday, December 5, 2012, at 5:00 PM, at 40 Main Street, Hornell, NY.

PRESENT: Samuel Nasca, Chairman
               George Prete, Vice Chairman
               Shawn Hogan, Treasurer
               David Parmley, Asst. Treasurer
               Joseph Foreman, Secretary

ABSENT: None

ALSO:      James Griffin, CEO, Executive Director
               Wanda White, Administrative Asst.
               Jeff Cole, Reporter, Evening Tribune
               John Dagon, Agency Attorney

Chairman Nasca called the meeting to order at 5:00 PM.

MINUTES

Secretary Joseph Foreman presented the November 1, 2012 minutes. A motion was made by Dave Parmley, seconded by George Prete to accept the minutes of the November 1, 2012 meeting. Carried All.

FINANCIAL REPORT

Treasurer Shawn Hogan presented the financial report for the months of October and November 2012 as reviewed by our accountants Mengel, Metzger, & Barr. A motion was made by George Prete, seconded by Dave Parmley to approve the financial reports as presented. Carried All.

AUDIT COMMITTEE

George Prete, Chairman of the Audit Committee, stated that the Committee met on December 5, 2012 and approved bills in the amount of $45,404.65 for the month of November. A motion was made by David Parmley, seconded by Joseph Foreman, to approve the actions of the Audit Committee. Carried All.

PERSONNEL COMMITTEE

Mayor Hogan, Chairman of the Personnel Committee stated there was no report for the month of November.

GOVERNANCE COMMITTEE REPORT

Chairman of the Governance Committee, Samuel Nasca, stated there was no report for the month of November.

EXECUTIVE DIRECTOR'S REPORT

Executive Director Griffin stated that he had received a bill from the Center for Governmental Research for $250.00 for web hosting services for one year for use of the informanalytics for 2013. Griffin explained that this tool will help with projects reviews and cost benefits analysis. A motion was made by Dave Parmley, seconded by Joseph Foreman to pay the $250.00 for a one year usage of the analytical tool. Carried All.

Griffin stated that he was still working on getting estimates on the Trikeenan Building. He has spoken with Peter Krog again and a contractor did go over to look at the floor and suggested looking underneath the pad to see if there was a way to pump cement under the pad to even out. Peter is talking with companies that do that kind of work and said he would get back to us. Griffin said it would probably be in the Spring before it gets back to the Board.

Executive Director Griffin stated that the Board needed to enter into executive session to discuss properties. A motion was made by David Parmley, seconded by Joseph Foreman to enter into Executive Session under Public Officers Law, Article 7, Open Meeting Law, Section 105, paragraph D. Carried All.

The meeting reconvened at 6:15. There being no further business, the meeting was adjourned at 6:20 PM upon motion from Shawn Hogan, seconded by George Prete. Carried All.
