The monthly meeting of the City of Hornell Industrial Development Agency was held on Thursday, December 15, 2011, at 5:00 PM, at 40 Main Street, Hornell, NY.

PRESENT: Samuel Nasca, Chairman
               George Prete, Vice Chairman
               Shawn Hogan, Treasurer
               Joseph Foreman, Secretary

ABSENT: David Parmley, Asst. Treasurer

ALSO: James Griffin, CEO, Executive Director
          Wanda White, Administrative Asst.
          John Dagon, Agency Attorney
          Andrew Poole, Reporter Evening Tribune

Chairman Nasca called the meeting to order at 5:00 PM. Secretary Joseph Foreman, made a motion to accept the 11/18/11 minutes as presented. Motion was seconded by Shawn Hogan to accept the minutes as presented. Carried All.

Treasurer Shawn Hogan presented the audited financial report for the month of November 2011. A motion was made by Joseph Foreman, seconded by George Prete to approve the financial report as presented. Carried All.

AUDIT COMMITTEE

George Prete, Chairman of the Audit Committee, stated that the Committee met on December 15, 2011 and approved bills in the amount of $823,566.54. A motion was made by Shawn Hogan, seconded by Joseph Foreman, to approve the actions of the Audit Committee. Carried All.

PERSONNEL COMMITTEE

Mayor Hogan, Chairman of the Personnel Committee stated he had nothing to report.

GOVERNANCE COMMITTEE

Samuel Nasca, Chairman of the Governance Committee, reported that the
Authority Budget Office is providing a Webinar for authority members. Nasca suggested that Board members go through a three-hour education seminar. This would reinforce the continued education goals of our Agency. A second issue the ABO sent was regarding procurement issues. The ABO office also issued a notice that authorities do not have to competitively bid professional services contracts. Nasca further stated that the Southern Tier was awarded $49.4 million in the first round of Regional Council competition. A motion was made by George Prete seconded by Shawn Hogan to accept the Chairman's report as presented. Carried All.

EXECUTIVE DIRECTORS REPORT

Executive Director Griffin stated that the report Chairman Nasca gave regarding the Regional awards the Southern Tier area received $49.4 million. Of the $49.4 million, $10 million was allocated to three programs: Revolving loan fund, Shovel Ready Sites, and Agriculture. These funds will be administered through a Southern Tier Regional Economic Development Board (STREDC) of which Executive Director Griffin is Chairman.

Empire Zone - The Empire Zone BARS will be going out in January. He stated a court ruling turned over the employee requirement and may reinstate Orion.

OJT – The On the Job training programs are being changed completely by the State. There is a much longer process now and we have been working on short circuiting that process.

Trikeenan –All equipment has been moved from Keene New Hampshire. but have not moved all their equipment from Ohio as of yet, but will finish moving probably by Spring. They have hired employees.

EPX – Griffin had called Davis Ulmer to check on the Sprinkler system at the 18 N. Main Street property and is the last item on that needs to be addressed for repairs.

A motion was made by Shawn Hogan, second by Joseph Foreman to enter into Executive Session under Public Officers Law, Article 7, Open Meeting Law, section 105, paragraph D. Carried All.

The meeting resumed at 5:48 PM. There being no further business, the meeting was adjourned at 5:50 PM upon motion from Shawn Hogan, seconded by George Prete. Carried All.
